Amendment of Articles </U></B></div> <bR> <div> <B>The amendment of articles of incorporation is provided for by state law and in general requires the approval of the Board of Directors pursuant to section 205 of the bylaws, the approval of the members pursuant to section 502 and 509 of the bylaws, and the filing of a certificate of amendment in the Office of the Secretary of State. </B></div> <bR> <DIV ALIGN="LEFT"></DIV> <div> <B><U>601. Amendment of Bylaws </U></B></div> <bR> <div> <B>The amendment of bylaws is provided for by state law and in general requires either the approval of the Board of Directors pursuant to Section 205 of the bylaws or the approval of the members pursuant to section 502 or 509 of the bylaws.
